Introduction

Thanks for using EduQueue products, services, websites, and apps which are branded as “EduQueue” (collectively known as “Services”). These Terms of Use are not meant to act as substitutes for our Master Services Agreement for Enterprise Customers not using EduQueue on a non-trial basis.


Restrictions and limitations of use

You agree that any use of EduQueue granted to you without a Master Services Agreement is for limited trial purposes for internal evaluation. Upon of the expiration of the trial period communicated to you through you contacting us, you will immediately discontinue all uses of EduQueue Services. You will be responsible for communicating the information of these terms and conditions to your users of EduQueue and any breach of these terms will be deemed a breach of the trial. You represent and warrant that you will comply with all laws and regulations applicable to your use of the Services. You are responsible for your conduct, Content, and communications with others while using the Services. You must comply with the following requirements when using the Services:

  1. You may not purchase, use, or access the Services for the purpose of building a competitive product or service or for any other competitive purposes.
  2. You may not misuse our Services by interfering with their normal operation, or attempting to access them using a method other than through the interfaces and instructions that we provide.
  3. You may not circumvent or attempt to circumvent any limitations that EduQueue imposes on your account (For example going over the limitations imposed via a trial account).
  4. Unless authorized by EduQueue in writing, you may not probe, scan, or test the vulnerability of any EduQueue system or network.
  5. Unless authorized by EduQueue in writing, you may not use any manual or automated system or software to extract or scrape data from the websites or other interfaces through which we make our Services available.
  6. Unless permitted by applicable law, you may not deny others access to, or reverse engineer, the Services, or attempt to do so.
  7. You may not transmit any viruses, malware, or other types of malicious software, or links to such software, through the Services.
  8. You may not engage in abusive or excessive usage of the Services, which is usage significantly in excess of average usage patterns that adversely affects the speed, responsiveness, stability, availability, or functionality of the Services for other users. EduQueue will endeavor to notify you of any abusive or excessive usage to provide you with an opportunity to reduce such usage to a level acceptable to EduQueue.
  9. You may not use the Services to infringe the intellectual property rights of others, or to commit an unlawful activity.
  10. Unless authorized by EduQueue in writing, you may not resell or lease the Services.
  11. If your use of the Services requires you to comply with industry-specific regulations applicable to such use, you will be solely responsible for such compliance, unless EduQueue has agreed with you otherwise. You may not use the Services in a way that would subject EduQueue to those industry-specific regulations without obtaining EduQueue’s prior written agreement.
  12. You may not register accounts by “bots” or other automated methods.

Licensing information

Subject to your complete and ongoing compliance with these terms, EduQueue grants you limited, non-transferable, non-sub-licensable, revocable permission to access and use the Services during the communicated term and at the level of service for which you have paid all applicable fees.


Limitations of liability

You expressly understand and agree that, to the extent permitted by applicable laws, EduQueue and its related parties shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the Service.

To the extent permitted by applicable laws, in no event shall EduQueue or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our Services or these Terms of Service (however arising including negligence). You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, EduQueue partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents it incorporates by reference (including the AUP), or your violation of any law or the rights of a third party.

Your use of the Services is at your sole risk. The Services are provided on an “as is” and “as available” basis without any warranty or condition, express, implied or statutory.

EduQueue does not warrant that the Services will be uninterrupted, timely, secure, or error-free.

EduQueue does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable.

EduQueue does not warrant that the quality of any products, services, information, or other materials purchased or obtained by you through the Services will meet your expectations, or that any errors in the Services will be corrected.


Intellectual property rights

Neither these Terms nor your use of the Services grants you ownership in the Services or the content you access through the Services (other than your Content). We do not grant you any right to use EduQueue’s trademarks or other brand elements.

If you submit any feedback or suggestions to us regarding our Services, we may use and share them for any purpose without any compensation or obligation to you.


Notifications of changes

EduQueue may change these terms at any time for a variety of reasons, such as to reflect changes in applicable law or updates to Services, and to account for new Services or functionality. The most current version will always be posted on the EduQueue website. If an amendment is material, as determined in EduQueue’s sole discretion, EduQueue will notify you by email. Notice of amendments may also be posted to EduQueue’s blog or upon your login to your account. Changes will be effective no sooner than the day they are publicly posted. In order for certain changes to become effective, applicable law may require EduQueue to obtain your consent to such changes, or to provide you with sufficient advance notice of them. If you do not want to agree to any changes made to the terms for a Service, you should stop using that Service, because by continuing to use the Services you indicate your agreement to be bound by the updated terms.
